Terms of Service

These Terms of Service (“Terms”) govern your access to and use of EditSync’s software, website, APIs, and associated services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company to these Terms. If you do not agree, do not use the Service.
1. The Service
EditSync is a project workflow tool for content teams. It integrates with third-party services such as GoHighLevel (“GHL”/LeadConnector) and Dropbox to automate tasks (e.g., creating folders, sending notifications, generating file-request links) and to centralize project information. Functionality may evolve over time; features may be added, changed, or removed.
2. Eligibility & Accounts
You must be at least 18 and capable of forming a binding contract. You’re responsible for your login credentials and all activity under your account(s). Notify us promptly of any unauthorized access. Admin users may create and manage sub-accounts (e.g., shooters, editors, client admins/guests); admins are responsible for their team’s use of the Service.
3. Your Data & License to Us
You retain ownership of content and data you input into the Service, including contact details, project info, messages, and files or links (“Customer Data”). You grant EditSync a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and support the Service, troubleshoot issues, and comply with law.
You must have all rights and consents necessary to submit Customer Data (including via webhooks) and to authorize our processing, including any data from your GHL and Dropbox accounts.
4. Third-Party Services
Some features require you to connect your own accounts with third-party services (e.g., GHL and Dropbox). When you connect, you direct EditSync to access those services on your behalf (e.g., read/write contacts, send email/SMS, create folders or file requests). Third-party terms and privacy policies apply to your use of those services. EditSync does not control and is not responsible for any third-party service’s content, availability, or behavior.
You can disconnect integrations at any time. Disconnecting may revoke tokens, but it does not automatically delete Customer Data already stored in EditSync. You are responsible for exporting or deleting data as needed (see Section 14).
5. Messaging & A2P Compliance
The Service can send email and SMS through your connected GHL location(s). You are solely responsible for obtaining and maintaining all consents (opt-ins), honoring opt-outs, registering campaigns (if applicable), and complying with anti-spam and carrier rules. EditSync may automatically append opt-out language such as “Reply STOP to unsubscribe” to SMS messages. You agree not to use the Service to send unlawful or unwanted communications.
6. Acceptable Use
You will not (and will not permit anyone to): (a) misuse the Service, probe or scan systems, interfere with security or access controls; (b) copy, modify, reverse engineer, or create derivative works from the Service; (c) upload malicious code; (d) infringe, violate, or misappropriate anyone’s rights; (e) send defamatory, deceptive, or illegal content; (f) submit regulated or highly sensitive data to the Service (including PHI/medical data, PCI card data, or secrets that require special compliance frameworks). EditSync is not a HIPAA- or PCI-compliant service.
7. Security
We use commercially reasonable safeguards to protect the Service. OAuth and refresh tokens stored by EditSync are encrypted at rest. You acknowledge that no system is 100% secure and agree to use the Service consistent with your organization’s security requirements.
8. Privacy
Your use of the Service is also subject to our Privacy Policy (incorporated by reference). Among other things, we may process account details, logs, and telemetry to operate and improve the Service, detect abuse, and support you.
9. Beta Features; Changes; Availability
We may offer new or experimental features (“Beta”). Beta is provided “as is,” may be modified or discontinued at any time, and may be less reliable than generally available features. We may update, suspend, or discontinue the Service (or any part) at any time with or without notice.
10. Intellectual Property
EditSync and its licensors own all rights, title, and interest in and to the Service, including software, UI, and documentation. Except for the limited rights expressly granted in these Terms, no rights are granted to you. You may submit feedback; we may use it without restriction or compensation.
11. Fees, Payments, and Subscriptions
Plans & Fees. The Service is offered through various subscription plans ("Plans"), each with its own features, usage limits, and fees as described on our pricing page. By selecting a paid Plan, you agree to pay all applicable fees.
Billing & Automatic Renewal. Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually). Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account settings or by contacting us prior to the renewal date. You authorize us and our third-party payment processor (Stripe) to charge your payment method for such renewals.
Non-Payment. If we are unable to process payment for your subscription, we reserve the right to suspend or terminate your access to the Service.
Refunds. All fees are non-refundable, except as required by law or at our sole discretion.
12. Webhooks & Automations
If you post data to our endpoints (e.g., GHL custom webhooks) you are responsible for authentication, rate limits, and payload size. You must only post data for subaccounts you control and that are authorized in EditSync. We may reject or throttle traffic that threatens stability or security.
13. Team Roles & Admin Controls
Admins can invite or remove users (e.g., shooters, editors, client admins/guests) and configure automations (e.g., assignment notifications, approval requests, Dropbox folder creation). Admins are responsible for (i) selecting the correct GHL location for messaging and (ii) ensuring team members’ contact info is accurate. Notifications may fail if integrations are misconfigured.
14. Data Retention & Deletion
We retain Customer Data for your use of the Service. Upon termination of your account, we may delete your Customer Data in accordance with our Privacy Policy. Disconnecting an integration revokes its tokens but does not automatically remove Customer Data previously synced or created. You may request deletion of your Customer Data; we will process requests subject to legal retention and backup limitations.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, EDITSYNC AND ITS AFFILIATES, SUPPLIERS, AND DISTRIBUTORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) EDITSYNC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) EDITSYNC’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO EDITSYNC FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR USD $100 IF YOU HAVE NOT PAID ANY AMOUNTS.
17. Indemnification
You will defend, indemnify, and hold harmless EditSync and its affiliates, officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your Customer Data; (b) your use of the Service; (c) your violation of these Terms; or (d) your use of third-party services in connection with the Service.
18. Suspension & Termination
We may suspend or terminate your access to the Service immediately for violations of these Terms, non-payment of fees, to prevent harm to the Service or others, or if required by law. You may terminate your subscription at any time as described in Section 11. Sections intended to survive termination (including 3, 5–8, 10, 11, and 14–23) will survive termination.
19. Export & Sanctions
You must comply with applicable export control and sanctions laws. You may not use the Service if you are barred under such laws.
20. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Arbitration & Class Waiver: Any dispute will be resolved by binding arbitration in San Francisco County, California, on an individual basis; you and EditSync waive any right to a jury trial or to participate in a class action. You may seek individual relief in small-claims court if eligible. Nothing prevents either party from seeking injunctive relief for misuse of IP or breach of confidentiality.
21. Changes to Terms
We may modify these Terms from time to time. We’ll post the updated Terms with a new “Last Updated” date. For material changes to paid Plans, we will provide reasonable notice (e.g., via email or in-app notification). Your continued use after changes take effect constitutes acceptance.
22. Notices
We may provide notices via the Service, email, or other reasonable means. You agree that electronic communications satisfy any legal requirements for written notices.
